Quatt Heat Pump Reservation Agreement

This reservation agreement is entered into between you and us (Quatt B.V. – KvK 82048037).

1. Quatt Heat Pump Reservation

By making a reservation you will secure the approximate priority within your region for taking delivery of a Quatt Heat Pump once these are ready for sale in your region.

2. Effective Date

Your reservation becomes effective after: (1) you have made your reservation; and (2) we have received your reservation payment.

3. Nature of the agreement (what this agreement is all about)

While this reservation secures the approximate delivery priority within your region, it does not constitute an agreement for the sale and purchase of a heat pump and does not lock in pricing, exact specifications of the heat pump, a production slot, or an exact delivery date.

You understand that we may not have completed the development of the heat pump or begun manufacturing the heat pump at the time of your reservation.

This reservation agreement does not give you an obligation to purchase a heat pump from us and does not give us an obligation to manufacture and sell the heat pump to you.Until you enter into the purchase agreement for the purchase of a Quatt Heat Pump, both you and us have the right to cancel your reservation at any time.

4. Order Process (how does this work in practice)

When the start of production for your reservation nears, we will contact you, and ask you to provide us information regarding your home to prepare installation of your Quatt Heat Pump.

We will also ask you if you wish to proceed with the purchase of your heat pump. Such sale and purchase will be governed by a separate and legally binding purchase agreement. This purchase agreement will include the final purchase price of the heat pump including all chosen accessories and services, plus estimates of any applicable taxes, duties, transport and delivery charges, and any other applicable fees. If you choose to proceed with your purchase, we will subtract the amount of your reservation payment from the purchase price.

5. Acknowledgements; Non-Transferable

You are aware that we will not hold your reservation payment separately or in an escrow or trust fund or pay any interest on your reservation payment. Your reservation is not transferable or assignable to another party without our prior written approval.

6. Your Details

From time to time we may ask you to provide us with information so we can prepare for the installation of your Quatt Heat Pump. We will maintain your personal information in accordance with our Privacy Policy, which can be found on quatt.io.

It is your responsibility to notify changes to your personal information by emailing info@quatt.io. Quatt is not liable for inaccurate or outdated information.

7. Limitation of Liability

To the maximum extent permitted by applicable law, we make no warranty of any kind in connection with this reservation agreement or its subject matter. Under no circumstances can we be held liable for any lost profits or any indirect or consequential damage even if we have been advised of the possibility of occurrences which would or might lead to such loss or damages. If we are held liable for any damages related to your reservation or this reservation agreement, your sole and exclusive remedy will be limited to reimbursement of the reservation payment paid to us.

8. Force majeure

Neither you nor Quatt will be liable for any errors or delays in fulfilling any obligation under this reservation agreement that result from an event beyond our reasonable control, including, but not limited to, force majeure, pandemic, epidemic, disease, terrorism, war , political insurrection, insurrection, riot, civil or military authority, material change in applicable law or regulation, insurrection, unavailability of materials, strike, earthquake, flood, or other natural or man-made event beyond our control.

9. Governing Law and Jurisdiction

This reservation agreement is governed by the laws of The Netherlands. Disputes that arise from the reservation agreement will be exclusively handled by the competent court of Amsterdam.
